User Content in Collaborative Spaces:
Content you share in public or collaborative spaces (Communities of Practice, shared databases, public pages, comments) is subject to the non-transferable license you grant to FGI in our Terms & Conditions. This content may be retained for up to 7 years for archival and community benefit purposes to ensure continuity of the shared knowledge commons. You may request deletion of specific attributed content by emailing privacy@fgi.digital, and we will honor requests where practical, though anonymized content in aggregated works may remain.
Private User Content:
Content you create in private pages or workspaces that you have not shared will be deleted or anonymized within 90 days of account deletion. You may request immediate deletion by contacting support@fgi.digital.
Personal Information:
Personal information associated with your account (name, email, profile data) will be deleted or anonymized within 90 days of account deletion, except where required for legal compliance.

7.1 AI and Machine Learning
The FGI workspace includes AI-powered features (search, content generation, summarization) provided through our platform partner, Notion. These features use large language models to assist your work.
Your content is not used for AI training. Neither FGI nor Notion uses your User Content, assessments, or workspace data to train AI models. AI processing is performed only to deliver the service features you request, and your data remains subject to the same privacy and security protections described in this policy.
8. Children's Privacy
The Services are not directed to individuals under 16 years of age. We do not knowingly collect personal information from children under 16. If we learn we have collected such information, we will delete it promptly. If you believe we have collected information from a child under 16, please contact privacy@fgi.digital.

These Terms of Service ("Terms") govern your access to and use of the Future Government Institute ("FGI") services, including our Notion workspace, Acorn PLMS, content, assessments, and community (collectively, the "Services"). The Services are provided by FG Institute Pty Limited (ABN 51 643 866 219), an Australian company trading as Future Government Institute ("FGI", "we", "us", or "our").
By subscribing to or using the Services, you agree to be bound by these Terms and our separate FGI Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1.2 FGI Fellows Consultations — Important Disclaimers
FGI Fellows are independent practitioners who offer consulting, advisory, and expert services separately from the FGI membership. FGI acts solely as a marketplace facilitator connecting members with Fellows. When you book or engage with a Fellow:
Direct Relationship:
The consultation, advisory engagement, or expert service is a direct contractual relationship between you and the Fellow. FGI is not a party to this relationship and acts only as a facilitator of the introduction and booking process.
Fellow's Sole Responsibility:
Each Fellow is solely and exclusively responsible for:

The advice, recommendations, analysis, and services they provide

The quality, accuracy, timeliness, and appropriateness of their work
-
Outcomes, results, or consequences arising from their advice or services

Their own professional conduct, ethics, and compliance with applicable laws

Maintaining appropriate qualifications, licenses, and insurance (where applicable)
FGI Has No Liability:
FGI explicitly disclaims all liability for:

The quality, accuracy, or outcomes of any Fellow's advice or services

Any decisions you make based on a Fellow's recommendations

Professional errors, omissions, or negligence by Fellows

Damages, losses, or harm resulting from Fellow consultations

Fellow availability, scheduling, or cancellations

Disputes between you and Fellows
FGI does not:

Supervise, direct, or control Fellows' consulting work or methodologies

Review or approve the content of Fellow advice before or after it is provided

Guarantee results, outcomes, or satisfaction with Fellow services

Act as an agent, employer, or partner of Fellows

Assume responsibility for Fellows' professional conduct
Fellow's Terms Apply:
Each Fellow may have their own service terms, cancellation policies, refund policies, professional liability limitations, and intellectual property terms. You agree to be bound by the Fellow's individual terms when booking. Disputes regarding Fellow services should be resolved directly with the Fellow, not with FGI.
Not Professional Advice:
Fellow consultations are for educational, advisory, and capability-building purposes. They do not constitute and should not be relied upon as legal, financial, accounting, tax, regulatory advice, official government policy, compliance guidance, or professional services requiring licensed practitioners (unless the Fellow holds appropriate licenses). You must consult licensed professionals for advice specific to your situation.
Vetting and Credentials Disclaimer:
While FGI curates Fellows based on their experience and expertise:

FGI does not verify professional licenses, certifications, or credentials

Fellows' biographical information and qualifications are self-reported

FGI does not conduct background checks or professional verification

You are responsible for conducting your own due diligence before engaging a Fellow
Independent Contractors:
Fellows are independent contractors, not employees, agents, or representatives of FGI. Fellows set their own fees, maintain their own insurance, are responsible for their own taxes, and have no authority to bind FGI.
Booking Acknowledgment:
By booking a Fellow consultation, you acknowledge that FGI is a facilitator only, the Fellow is solely responsible for services provided, you will resolve disputes directly with the Fellow, and you will not hold FGI liable for any aspect of the Fellow's services or advice.
1.3 Service Levels and Modifications
Uptime Target: We aim for 99.5% platform availability, excluding scheduled maintenance and events beyond our control.
Scheduled Maintenance: We may perform scheduled maintenance with advance notice, minimizing disruption to business hours where possible.
Service Modifications: We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice. We will notify members of material changes via email or through the platform.
2. Membership and Accounts
2.1 Account Registration
You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

2.4 User Accounts and Seats
Individual Subscriptions:
Your subscription includes one user account for your personal use. You may not share account credentials with others.
Organizational Subscriptions:
Organizational subscriptions include multiple user seats. You may invite users up to your seat limit, add or remove users as needed, and assign an administrator to manage users.
Seat Management:

You are billed based on the number of active seats

Adding seats may increase your subscription fee (prorated for the current billing period)

Removing seats takes effect at the next billing period
User Responsibilities:
Users are responsible for the content they create, upload, or share; complying with these Terms; and maintaining the confidentiality of their credentials. Subscribing organizations are responsible for their users' compliance.

3.2 Billing Cycle and Renewal
Annual Subscriptions:
-
Individual memberships are billed annually in advance on the anniversary date
-
Automatically renews until canceled
-
Initial term: 12 months
Renewal: Subscriptions automatically renew for successive 12-month periods unless you cancel before the renewal date. We will send a renewal reminder before charging your payment method.
3.3 Payment Terms
Payment Methods:
We accept credit cards (Visa, Mastercard, American Express), debit cards, PayPal (where available), bank transfer (for annual organizational subscriptions), and purchase orders (for government agencies, subject to approval).
Payment Authorization:
By providing payment information, you authorize FGI to charge your payment method for the subscription fee, applicable taxes, and any other fees you incur (e.g., Fellow consultation bookings) at the start of each billing period.
Failed Payments:
If a payment fails:

We will notify you and attempt to retry the payment

Your access may be suspended after 7 days until payment is received
-
Your subscription may be canceled after 30 days of non-payment
-
You remain responsible for any outstanding fees
Currency: All prices are in United States Dollars (USD) unless otherwise specified. If your payment method uses a different currency, your financial institution will convert the charge.
Price Changes: We may change subscription prices with at least 30 days' notice. Price changes apply to new subscriptions immediately and to existing subscriptions at next renewal. If you do not accept a price increase, you may cancel before the new price takes effect.
3.4 Taxes
Subscription fees exclude taxes. You are responsible for sales tax, VAT, GST, withholding taxes, or other consumption taxes as applicable. If we are required to collect taxes, we will add them to your invoice.
Tax-Exempt Organizations: If you are exempt from taxes (e.g., government agencies in certain jurisdictions), please provide valid tax exemption documentation to billing@fgi.digital.
3.5 Invoices and Receipts
We will provide an email receipt for each successful payment, downloadable invoice through your account portal, and historical billing records. For custom invoicing requirements, contact billing@fgi.digital.
4. Cancellation & Refunds
4.1 How to Cancel Your Subscription
Self-Service Cancellation:

Log in to your FGI account

Go to Account Settings → Billing

Click "Cancel Subscription" and follow the prompts

You will receive a confirmation email
Alternative: Email support@fgi.digital with "Cancel Subscription" in the subject line, including your account email address.
Free membership: You may close your account at any time by contacting support@fgi.digital.
4.2 When Cancellation Takes Effect
Annual subscriptions: Cancellation takes effect at the end of your annual term. You will retain access until that date and will not be charged for subsequent billing periods.
We will send you an email confirming the date your cancellation was processed, the last day of your access, and whether any refund applies.
4.3 General Refund Policy
FGI subscription fees are generally non-refundable except as specifically provided below, because you have immediate access to all content and features upon subscription, and content and services are consumed as soon as access is granted.
4.4 30-Day Money-Back Guarantee (New Subscribers Only)
Individual and Small Team Subscriptions (up to 10 seats):
If you are a new subscriber (never previously subscribed to FGI), you may cancel within 30 days of your initial subscription for a full refund with good reason, provided:

You cancel within 30 days of your first payment
-
This is your first FGI subscription
-
You have not previously received a refund from FGI
-
You provide a genuine reason (e.g., technical issues, service not as described, dissatisfaction with content quality, service does not meet your needs)
Good reason does not include: Completing substantial training or assessments and then canceling, extracting significant value from the platform and then requesting a refund, or claiming dissatisfaction after extensive use without prior contact with support.
How to request: Follow the cancellation process in Section 4.1 within 30 days and provide your reason. Refunds for requests meeting the criteria will be processed within 5 business days.
4.5 Annual Subscriptions – Prorated Refunds
Within first 30 days:

Eligible for prorated refund minus one month of service
-
Example: $450 annual subscription canceled after 15 days → refund of approximately $412 (11 months)
After 30 days:
-
No refund for unused months
-
Access continues until the end of your annual term
Exception: Refunds may be provided at FGI's discretion for extended service outages caused by FGI, material breach of our service commitments, or exceptional circumstances (considered case-by-case).
4.7 Organizational and Enterprise Subscriptions
Refund terms for organizational and enterprise subscriptions (10+ seats) are specified in your contract or purchase order. Generally:

First 30 days: Prorated refund available upon request

After 30 days: No refund; access continues until contract end
-
Seat reductions: Take effect at next billing cycle; no mid-cycle refunds for removed seats
4.8 Vendor and Partner Subscriptions
Vendor partnerships ($20,000/year) and association/university partnerships are governed by separate agreements with refund terms specified therein, typically no refunds after 30 days and prorated refunds in first 30 days at FGI's discretion.
4.9 Non-Refundable Items
The following are never refundable:

FGI Fellow Consultation Bookings: One-on-one consultations are separate services provided directly by the Fellow, subject to the Fellow's individual cancellation and refund policy. Refunds for Fellow bookings are at the sole discretion of the Fellow, not FGI.

Add-On Services: Custom assessments, bespoke training, advisory engagements, event tickets (separate refund policy per event)
-
Partial Usage: No refunds for "unused" access within a billing period or based on reduced usage
4.10 What Happens When You Cancel
Until your subscription ends:

You retain full access to all features and content
-
You can export your data (User Content)
-
You can continue using Communities of Practice and events
After your paid subscription ends:
-
You lose access to paid-tier content and features
-
You can no longer view full case studies or submit assessments
-
Your User Content remains in the workspace but you cannot access it
Note: You may convert to a free membership to retain access to templates, playbooks, and sample content. Contact support@fgi.digital if you wish to downgrade instead of canceling. Export your data before your subscription ends.
4.11 Data Retention After Cancellation
Account information: Retained for 90 days in case you wish to reactivate.
User Content in Collaborative Spaces:
Content you shared in public or collaborative spaces (Communities of Practice, shared databases, public pages, comments) is subject to the non-transferable license you granted to FGI in Section 6.3. This content may be retained for up to 7 years for archival and community benefit purposes. You may request deletion of specific attributed content by emailing privacy@fgi.digital; we will honor requests where practical, though anonymized content in aggregated works may remain.
Private User Content:
Content you created in private pages or workspaces that you did not share will be deleted or anonymized within 90 days of account deletion. You may request immediate deletion by emailing privacy@fgi.digital.
Personal Information:
Your personal information (name, email, profile data) will be deleted or anonymized within 90 days of account deletion, except where required for legal compliance.
Transaction records: Retained for 7 years for tax and legal compliance.
Aggregated data: May be retained indefinitely in anonymized form.
4.12 Re-Subscribing
You may re-subscribe at any time. If you re-subscribe within 90 days, your account and content may be restored. After 90 days, you will start with a new account. The 30-day money-back guarantee applies only to first-time subscribers.
4.13 Involuntary Cancellation (by FGI)
Failed Payment: If your payment method fails and payment is not received after retries, your subscription may be canceled after 30 days of non-payment. No refund is provided. You remain responsible for any outstanding fees.
Terms Violation: If FGI terminates your subscription for violating these Terms, termination is effective immediately, no refund is provided, and you may be liable for damages caused by your violation.
Service Discontinuation: If FGI discontinues the Services entirely, we will provide at least 90 days' notice and you will receive a prorated refund for any prepaid, unused subscription period.
4.14 Refund Process and Timing
How Refunds Are Issued:
Refunds are issued to your original payment method: credit/debit card, PayPal account, bank transfer (we may request banking details), or purchase order credit note.

Refund Amount:
Refunds are processed in the original currency and amount paid. Currency conversions may result in slight differences from the amount charged due to exchange rate fluctuations. FGI does not charge refund processing fees, but your financial institution may charge foreign transaction fees.
4.15 Downgrading to Free Membership
Instead of canceling, you may choose to downgrade to free membership with access to templates, playbooks, frameworks, sample case studies, and view-only access to select Communities of Practice. Contact support@fgi.digital to request a downgrade. Downgrades follow the same refund policy as cancellations (no prorated refunds after 30-day guarantee period).
4.16 Special Circumstances
Extended Service Outages: If the FGI platform is unavailable for more than 48 consecutive hours due to our failure (not third-party platform issues or your connectivity), contact support@fgi.digital to assess eligibility for a credit or prorated refund.
Dissatisfaction with Services: Contact support@fgi.digital within 30 days of subscription (for new subscribers) with good reason for a full refund. After 30 days, we cannot provide refunds but welcome your feedback.
Exceptional Circumstances: In exceptional circumstances (e.g., medical emergency, natural disaster affecting your organization), we may consider refund requests on a case-by-case basis. Contact legal@fgi.digital with documentation.
4.17 Chargebacks and Disputes
Contact Us First: If you have a billing issue or dispute, please contact us first at billing@fgi.digital before initiating a chargeback. We are committed to resolving issues fairly and quickly.
Chargeback Consequences: If you initiate a chargeback, your access will be immediately suspended, your account may be permanently closed, you may be liable for chargeback fees and costs, and we will provide documentation to your payment provider to contest invalid chargebacks.
Valid reasons for chargebacks: Fraudulent charges you did not authorize; charges after you canceled (and we failed to process the cancellation).
Invalid reasons for chargebacks: Dissatisfaction with Services (use cancellation process instead); forgetting about subscription renewal (use cancellation process instead); wanting a refund outside our policy (contact us to discuss).
4.18 Gift Subscriptions and Promotional Credits
Gift subscriptions (if offered): Non-refundable once activated by the recipient; may be transferred to another recipient if not yet activated.
Promotional credits or discounts: Non-refundable; cannot be exchanged for cash; expire as stated in the promotion terms.
5. Acceptable Use
5.1 Permitted Use
You may use the Services for professional development and capability building, organizational transformation planning and execution, research and academic purposes (with appropriate attribution), and collaboration with other members.
5.2 Prohibited Use
You may not:

Infringe intellectual property rights of FGI or others

Resell, redistribute, or commercialize FGI content without authorization

Use the Services to transmit spam, malware, or harmful content

5.3 User Responsibility for Content and Conduct
You are solely responsible for:

All content you create, upload, post, share, or transmit through the Services

All use of AI tools and any content generated by AI at your request

Your interactions with other members in Communities of Practice and shared workspaces

Ensuring your content and conduct comply with applicable laws and regulations

Ensuring your content does not infringe third-party intellectual property or privacy rights

The accuracy and appropriateness of information you provide in assessments and profiles
Content Moderation: FGI reserves the right (but has no obligation) to monitor, review, or remove any User Content that violates these Terms or is deemed inappropriate. However, FGI does not pre-screen content and is not responsible for User Content.
5.4 Enforcement
We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice, depending on severity. We may also remove or restrict access to content that violates these Terms.
6. Intellectual Property
6.1 FGI Content Ownership
All content provided through the Services—including frameworks, assessments, templates, case studies, courses, videos, and documentation—is owned by FGI or our licensors and protected by copyright, trademark, and other intellectual property laws.
6.2 License to Use FGI Content
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and view FGI content for your internal use

Duplicate templates and frameworks for your organization's use

Cite and reference FGI content with appropriate attribution
This license terminates upon cancellation or termination of your membership. Free members have access to open-source templates and frameworks under the same license terms.
6.3 User Content and Collaborative Contribution
You Own Your Content:
You retain full ownership of any content you create or upload to the Services ("User Content"). FGI does not claim ownership of your original work.
Community Collaboration License:
FGI is a collaborative platform where members contribute knowledge to advance Government 3.0 transformation globally. When you share User Content in collaborative spaces (including Communities of Practice, shared pages, public databases, comments, and discussions), you grant FGI a worldwide, non-exclusive, royalty-free, non-transferable license to use that content for the benefit of the FGI community and platform, including the right to:

Host, display, reproduce, and distribute your content within the Services

Curate, organize, and present your contributions alongside other community content

Create educational compilations and aggregated resources that combine insights from multiple contributors (including your content) to develop frameworks, best practices, case studies, and educational materials

Improve and enhance the platform's knowledge base through community contributions

Showcase exemplary contributions in promotional and marketing materials to demonstrate the value of the FGI community

Provide attribution to you or anonymize contributions as appropriate to context and your preferences
This license enables FGI to fulfill its mission of building a shared knowledge commons for government transformation. It continues even after you leave the platform to ensure continuity of the community knowledge base.
Your Private Content Stays Private:
Content you create in private pages or workspaces that you have not shared with other members remains private and is subject only to the limited access FGI needs to provide support, maintain security, ensure Terms compliance, or fulfill legal obligations.
Government and Organizational IP:
You represent that you have authority to grant this license. If you are a government employee or contractor, you acknowledge that:

Content subject to Crown copyright, government IP policies, or agency restrictions should not be shared without appropriate authorization

You should consult your organization's legal or IP policies before sharing sensitive or restricted content

FGI is not responsible for content shared without proper authority
Content Removal:
You may request removal of your attributed content by contacting legal@fgi.digital. We will honor requests where practical, though:

We will always anonymize your attributed content upon request
Attribution and Recognition:
FGI values and respects contributor recognition. We will make reasonable efforts to attribute content to you where appropriate, but you acknowledge that in aggregated works, compilations, or certain contexts, individual attribution may not be practical.
Community Benefit:
By contributing to FGI, you help build a stronger knowledge base that benefits all members—including yourself. You receive the same benefit from others' contributions.
Your Representations:
You confirm that you have all necessary rights to share your User Content and that it does not infringe any third-party intellectual property, privacy, or other rights.
6.4 Feedback
If you provide feedback, suggestions, or ideas about the Services, we may use them without obligation or compensation to you.
7. Data and Privacy
7.1 Privacy Policy
Our collection and use of personal information is governed by our separate FGI Privacy Policy, which you should read carefully. The Privacy Policy is incorporated into these Terms by reference.
7.2 Data Security
We implement commercially reasonable security measures to protect your data, including encryption in transit and at rest, access controls and authentication, regular security assessments, and SOC 2 Type II compliance (Notion platform). However, no system is completely secure, and we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.
Data Breaches: In the event of a data breach affecting your personal information, we will notify you and relevant authorities as required by applicable law.
7.3 Data Ownership and Portability
You own your data. You may export your content at any time using platform export features and request deletion of your data upon cancellation.
7.4 Data Processing (for EEA/UK Subscribers)
If you are subject to GDPR, FGI acts as a data processor for User Content you create. A Data Processing Agreement (DPA) is available upon request for organizational subscriptions.
7.5 AI Features and User Responsibility
AI-Powered Features:
The Services include AI-powered features (provided through Notion's AI capabilities) to assist with search, content generation, summarization, and analysis.
No AI Training on Your Data:
Your User Content, assessments, and workspace data are not used to train AI models. FGI uses Notion's AI capabilities, which do not train on customer data per Notion's enterprise AI data practices. Notion's AI subprocessors (including OpenAI and Anthropic) have contractual zero-retention agreements for Enterprise workspaces. FGI does not use your content to train proprietary AI models. If we introduce additional AI capabilities in the future, we will notify you and obtain appropriate consent where required by law.
Your Responsibility for AI-Generated Content:

You are solely responsible for reviewing, verifying, and using any AI-generated content

AI-generated content may contain errors, inaccuracies, or inappropriate material

You must not rely on AI-generated content as professional, legal, financial, or policy advice

FGI is not liable for decisions made based on AI-generated content
Prohibited AI Use:
You may not use AI features to generate content that violates these Terms or applicable law; attempt to reverse-engineer, manipulate, or exploit AI systems; generate misleading, harmful, or inappropriate content; or impersonate others or misrepresent AI-generated content as human-created.
8. Third-Party Services
8.1 Service Dependencies
The Services are dependent on third-party services, including but not limited to Notion (workspace platform), Stripe (payment processing), PSN - Public Sector Network (identity provider), Acorn PLMS (capability framework and learning management), email service providers, analytics tools, and content delivery networks.
8.2 Third-Party Terms Apply
By using the Services, you agree to be bound by the terms of service and privacy policies of all third-party services listed above. In particular:

Your use of the Notion platform is subject to Notion's Terms of Service and Privacy Policy

Your payment information is subject to Stripe's and PayPal's respective terms and privacy policies

Your authentication through PSN is subject to PSN's terms and privacy policies
You are solely responsible for reviewing and complying with these third-party terms. FGI is not a party to your agreements with these third-party providers.

FGI is not responsible or liable for:

Any interruptions, delays, errors, or loss of data caused by third-party services

If you have issues with third-party services, you must resolve them directly with the provider.

FGI does not endorse and is not responsible for the accuracy, legality, appropriateness, privacy practices, or terms of service of third-party content. You access third-party content at your own risk.
9. Disclaimers and Limitations
9.1 No Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:

FGI content does not constitute legal, financial, tax, accounting advice, official policy or compliance guidance, or consulting or professional services. You should consult qualified professionals for specific advice applicable to your situation.
9.4 Assessment and Development Tools Disclaimer
FGX45 Assessments, Capability Development, and Certifications Are Educational Tools Only.
The Services include assessment tools (FGX45 organizational maturity assessments, deep dive assessments, individual capability assessments) and capability development features (personalized development plans, G3 Ready certification pathway). These are educational and self-assessment tools designed to support your professional development and organizational planning. They are not:

Assessment results are based on self-reported information that FGI does not independently verify, general frameworks that may not account for your organization's unique context, point-in-time responses that may not reflect ongoing conditions, and algorithms and methodologies that are subject to change and improvement.

The G3 Ready certification is an FGI internal credential indicating you have achieved a 3.0+ average proficiency across 22 Government 3.0 competencies based on self-assessment. It is:

Not a guarantee of competence recognized by employers or regulators

Not equivalent to university degrees, professional licenses, or industry certifications

G3 Ready certification reflects your participation in FGI's capability development program and self-assessed proficiency. Employers and organizations make their own independent judgments about qualifications and competence.
Use at Your Own Risk:
Any reliance you place on assessment results, development plans, certification status, or recommendations is strictly at your own risk. FGI is not liable for decisions made based on assessment results; investments, projects, or initiatives undertaken based on FGX45 scores; employment or career outcomes; organizational transformation success or failure; resource allocation or budget decisions; or third-party reliance on your results.
Third-Party Use of Results:
If you share your assessment results or G3 Ready certification with third parties (employers, partners, stakeholders), you acknowledge that FGI is not a party to those relationships, FGI is not responsible for how third parties interpret or use your results, third parties should conduct their own independent evaluations, and FGI does not endorse or validate your competence to third parties.
Professional Judgment Required:
Assessment tools are designed to support, not replace, professional judgment. You should validate findings with qualified consultants before major decisions, conduct independent due diligence, consider your organization's unique context, seek expert advice for complex transformation initiatives, and use assessments as one input among many.
9.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FGI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF FGI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO FGI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $1,000 AUD.
Some jurisdictions do not allow limitation of liability for certain types of damages, so these limitations may not apply to you. These limitations do not apply to liability for gross negligence, willful misconduct, fraud, or violations of consumer protection laws that cannot be waived by contract.
10. Indemnification
You agree to indemnify, defend, and hold harmless FGI, its officers, directors, employees, agents, and third-party service providers from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

This indemnification obligation survives termination of your membership.
Government Entity Exemption:
If you are a government agency or public sector entity that is legally prohibited from agreeing to indemnification obligations, this Section 10 does not apply to you. Instead, you are only liable for direct damages caused by your willful misconduct or gross negligence, to the extent permitted by applicable law.
11. Term and Termination
11.1 Term
These Terms remain in effect while you have an active membership (free or paid).
11.2 Termination by You
You may cancel your paid membership at any time as described in Section 4 (Cancellation & Refunds). Cancellation takes effect at the end of your current billing period. Free members may close their account at any time by contacting support@fgi.digital.
11.3 Suspension and Termination by FGI
Suspension: FGI may suspend your access if your payment is past due, you violate these Terms, or your use poses a security risk or legal liability. We will provide notice of suspension and an opportunity to cure, except in cases of serious violation.
Termination: We may terminate your membership immediately if you materially breach these Terms, engage in fraudulent or illegal activity, or if continuing to provide Services would create legal risk for FGI. We may also terminate immediately if required by law or court order, or with 30 days' notice for any reason (with prorated refund of prepaid fees).
11.4 Effects of Termination

12.2 Governing Law
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.
12.3 Jurisdiction
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of New South Wales, Australia, and you consent to the personal jurisdiction of such courts.
12.4 Alternative Dispute Resolution
For disputes involving amounts under $10,000 AUD, either party may elect mediation, binding arbitration, or other alternative dispute resolution before commencing legal proceedings.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our FGI Privacy Policy, constitute the entire agreement between you and FGI regarding the Services.
13.2 Modifications
We may modify these Terms at any time. We will notify you of material changes via email or platform notification at least 30 days before they take effect. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms. If you do not accept modifications, you may cancel your subscription before they take effect.
13.3 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction (e.g., in connection with a merger or acquisition).
13.4 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
13.5 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
13.6 Force Majeure
We are not liable for delays or failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, strikes, internet service disruptions, or third-party service failures.
13.7 Export Compliance
You agree to comply with all applicable export control laws and regulations.
